About

A small firm, on purpose.

FLOWCAP works with technology companies on the step they are actually facing — not the one that makes the best slide.

Most founders find out what a stage of growth really costs after they have already committed to it. The purpose of this firm is to give that answer first, in writing, while it is still cheap to change course.

We began in Canadian public markets, advising private companies on Reverse Takeovers. That work taught us something that applies well beyond listings: the companies that get through are the ones that knew what they were missing before anyone asked. The companies that do not are usually the ones who were told what they wanted to hear.

So the firm does two things. It advises technology companies on strategy, commercialisation, partnerships and capital readiness. And it keeps its public markets practice, for the companies where a listing is genuinely the right question.

We are deliberately small. You will work with one of the two people below, and specialist work goes to confirmed independent professionals whose fees you see before they start.

Who you will be working with

Two people. You will speak to one of them, not to an account manager.

Michael Nortman — Managing Director

Michael Nortman

Managing Director

Michael leads FLOWCAP’s engagements. He brings extensive international experience across investment and company validation — assessing businesses, technologies and assets in multiple jurisdictions, and determining which of them hold up under the scrutiny of investors, auditors and exchanges. His focus is separating verifiable substance from narrative before a company commits to a stage it cannot finish.

Nick Tubis — Financial Consultant

Nick Tubis

Financial Consultant

Nick advises companies on the financial side of growth and of becoming investable: capital structure, reporting readiness, cash planning through a preparation phase, and the financial story that investors and market professionals will test. He works directly with founders and shareholders from the first assessment onward.

How we prefer to work

The scope is agreed before the money

Volume, sessions, revisions and timeline are written down first. Work outside that scope gets its own proposal, not an invoice at the end.

We say no in the first conversation

If the engagement will not produce anything useful at your stage, that is the fastest and cheapest thing we can tell you.

Specialists are named, not implied

When work needs a lawyer, auditor or security specialist, you see who they are and what they charge.
