Reverse Takeover Specialists
FLOWCAP assists private technology and resource companies to become publicly traded through a Canadian Reverse Takeover — and prepares them to operate credibly once they are.
End-to-End RTO Assistance, Not Promotion
FLOWCAP is a Canadian consulting company that assists private companies through the whole Reverse Takeover pathway — readiness assessment, corporate preparation, deal structuring with licensed counsel, public vehicle sourcing through licensed market participants, and coordination of the professionals who complete the listing.
The company does not promise a listing to every applicant. Every project passes through a preliminary assessment covering the business, the product, the technology, the assets, the ownership structure, the management team, financial performance, investment potential and readiness for the requirements of the public market.
We work only with companies that have a real product, technology, licence, intellectual property or tangible assets. Where those are absent, we say so directly rather than beginning work that cannot lead anywhere.
The Public Market Does Not Suit Every Business
A Reverse Takeover requires more than an interesting idea. It requires a transparent structure, a strong team, a real product, a comprehensible investment story and sufficient capital to prepare the company for what follows.
We do not aim to accept the maximum number of projects. We aim to find companies that can genuinely meet the requirements of the public market and represent a credible proposition to investors.
That means we decline more applications than we accept, and it means we tell companies when they are two years away rather than two months. In our experience that is the more valuable answer, even when it is not the one a founder was hoping for.
Nine Dimensions of a Preliminary Assessment
Every application is examined across the same dimensions, so that outcomes are comparable and reasoning is consistent.
Business
Operating model, market position, customers and the durability of revenue.
Product
What exists today, what has been deployed, and what a third party can verify.
Technology
Technical substance, defensibility and dependency on external providers.
Assets
Intellectual property, licences, resources and title to each.
Ownership Structure
Entities, holdings, ultimate beneficial owners and the documentation behind them.
Management Team
Capability to operate under public-company obligations and to communicate with investors.
Financial Performance
Reporting standard, revenue quality, cash position and the audit gap.
Investment Potential
Whether a public investor would find a coherent reason to participate.
Public-Market Readiness
Governance, disclosure capability and the budget to prepare properly.
A Direct, Selective Approach
Selective Approach
We work with a limited number of companies and conduct a preliminary review of every project.
Canadian Market Focus
We understand the characteristics of the Canadian small-capitalisation market and what is expected of companies considering an RTO.
Independent Assessment
We assess strengths, weaknesses and real prospects objectively — including when the conclusion is unwelcome.
International Network
We work with market participants in Canada, Europe, the United States and other jurisdictions.
Confidentiality
All materials and discussions are treated as confidential information.
Long-Term Perspective
We assess not only whether a transaction is possible, but whether the company could function credibly after it.
The People You Will Work With
Direct access to the people running your process — not an account manager.
Michael Nortman
Michael leads FLOWCAP’s engagements. He brings extensive international experience across investment and company validation — assessing businesses, technologies and assets in multiple jurisdictions, and determining which of them can stand up to the scrutiny of investors, auditors and exchanges. His focus is separating verifiable substance from narrative before a company enters a public-market process.
Nick Tubis
Nick advises companies on the financial side of becoming public: capital structure, financial reporting readiness, cash planning for the preparation phase, and the financial story that investors and market professionals will test. He works directly with founders and shareholders from the first assessment through to transaction preparation.
LinkedInThe Boundaries of Our Role
Clarity about what we do not do is as useful as clarity about what we do.
