Selective Approach

We work with a limited number of companies and conduct a preliminary review of every project.

Capacity is finite, and an adviser who accepts every applicant is not assessing anyone. We would rather do careful work with a small number of companies than superficial work with many. That constraint is also what allows us to give a direct answer quickly.

Canadian Market Focus

We understand the characteristics of the Canadian small-capitalisation market and what is expected of companies considering an RTO.

The Canadian market has particular depth in resource and technology issuers, an established Reverse Takeover practice, and specific expectations about structure, disclosure and connection to the jurisdiction. Those expectations are learned rather than obvious, and international applicants frequently discover them late.

Independent Assessment

We assess strengths, weaknesses and real prospects objectively — including when the conclusion is unwelcome.

We have no interest in the outcome of a transaction, which means we have no reason to tell a company it is ready when it is not. An adviser whose compensation depends on a transaction completing has a structural incentive to encourage one.

International Network

We work with market participants in Canada, Europe, the United States and other jurisdictions.

Selected companies are introduced to legal counsel, auditors, dealers and investment firms appropriate to their sector and jurisdiction. Introductions are made on the basis of fit, and the professionals involved conduct their own assessment independently.

Confidentiality

All materials and discussions are treated as confidential information.

Application materials are used solely to assess the company, are accessible only to the team members conducting that assessment, and are not shared with third parties without specific consent. Where an assessment progresses to introductions, nothing is disclosed until the company has agreed to that specific disclosure.

Long-Term Perspective

We assess not only whether a transaction is possible, but whether the company could function credibly after it.

A company that completes a transaction and then fails to meet its reporting obligations, or trades at negligible volume because nothing about the transaction created investor interest, has not achieved anything worth having. Post-transaction viability is part of the assessment, not an afterthought.

FLOWCAP does not automatically take companies to an exchange. We accept applications, conduct confidential selection, analyse the company, determine its readiness, form a strategy, work with selected projects, and help them prepare for a potential RTO transaction.

Everything beyond that — the transaction structure, regulatory approval, audit opinions, technical reports and any financing — sits with appropriately licensed independent professionals, as it must.
