A Structured, Selective Process
Six stages from confidential application to preparation strategy. Most companies do not progress past the third, and we consider telling them so early to be the most valuable part of what we do.
Confidential Application
The company completes the six-part application and provides its core materials: pitch deck, financial statements, cap table and corporate structure where available.
Initial Screening
Our team reviews the sector, product, corporate structure, shareholders and stage of development against our current mandate.
Management Interview
A confidential meeting with founders or key shareholders. We are assessing capability and candour as much as the business itself.
RTO Readiness Review
Structured review of financial, legal, corporate and investment readiness, producing a specific list of gaps in order of consequence.
Selection Decision
The company receives a decision on whether further work together is possible, with the reasoning behind it.
Preparation Strategy
For selected companies, an individual strategy for preparing the business for a potential RTO transaction.
How Long Each Stage Takes
Screening and the initial response typically take a small number of weeks. The readiness review depends on how quickly the company can produce supporting documentation — companies with organised records move quickly, companies reconstructing history from email archives do not.
Preparation itself is the longest phase and is driven almost entirely by the company's starting position. A business with audited statements, a clean holding structure and documented intellectual property is in a materially different position from one starting with management accounts and personally held assets.
We give a realistic view of timing during the assessment rather than a standard figure, because a standard figure would be misleading.
The Handover to Licensed Professionals
Our work ends where regulated work begins. Transaction structuring, securities filings, audit opinions, technical reports and any financing are carried out by appropriately licensed independent professionals.
