The proportion of revenue from the largest accounts, contract terms, and renewal or termination rights.
Revenue recognition
Whether the accounting policy would withstand audit under IFRS, particularly for multi-year and usage-based contracts.
Sales efficiency
Cost of acquiring a customer relative to contribution, and the payback period a public investor would be underwriting.
Where Companies in This Sector Get Caught
Enterprise software companies usually have the cleanest path through corporate due diligence and the hardest time with financial restatement. Management accounts prepared on a cash or invoice basis often look materially different once recognised properly, and that difference should be understood internally before any external process begins.
